WiseSolve Terms of Service

Please read these Terms carefully. These Terms of Service ("Terms") are a binding agreement governing access to and use of WiseSolve, including its website, AI chat, image-solving tools, account features, and WiseSolve Pro. WiseSolve is operated by GRAY BOX INTELLIGENCE CORP. ("WiseSolve," "we," "us," or "our"). By creating an account, purchasing WiseSolve Pro, accessing, or continuing to use WiseSolve, you agree to these Terms and the Privacy Policy. If you do not agree, do not use WiseSolve.
1. Eligibility and minors
You must be at least 13 years old to use WiseSolve. If you are under the age of majority where you live, you may use WiseSolve only with permission of a parent or legal guardian who agrees to these Terms on your behalf to the extent permitted by law. WiseSolve is not directed to children under 13. If we learn that we collected personal information from a child under 13 in circumstances requiring parental consent, we may suspend the account and delete the information as required by law.
2. Accounts and account security
You must provide accurate information and keep it reasonably current. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs through your account, except to the extent responsibility cannot lawfully be assigned to you. You may not sell, transfer, share, or provide unauthorized access to your account. Notify WiseSolve promptly if you believe your account or credentials have been compromised.
3. Nature of the service; AI limitations
WiseSolve provides AI-assisted educational and general-purpose information. AI systems can generate inaccurate, incomplete, outdated, misleading, offensive, or non-unique responses, and may misunderstand prompts, images, or context. Outputs are generated automatically and are not guaranteed to be correct, original, complete, available, or suitable for any particular purpose. You are responsible for independently reviewing and verifying outputs before relying on or using them.
WiseSolve is not a substitute for a qualified professional. Do not rely on WiseSolve as the sole basis for medical, legal, financial, emergency, safety-critical, employment, admissions, or other high-impact decisions. In an emergency, contact the appropriate emergency service or qualified professional.
4. Academic integrity and responsible use
WiseSolve is intended to support learning and productivity. You are responsible for complying with the rules of your school, instructor, testing organization, employer, or other institution. You may not use WiseSolve to cheat, impersonate another person, misrepresent authorship when prohibited, or otherwise violate applicable academic or professional rules.
5. Acceptable use
You may not use WiseSolve to violate law or the rights of others; facilitate fraud, abuse, harassment, exploitation, or unauthorized access; interfere with or disrupt WiseSolve; probe or defeat security controls; bypass rate limits, usage limits, subscription restrictions, or payment controls; scrape or access the service by automated means in an abusive manner; introduce malware; reverse engineer protected portions of the service except where applicable law expressly permits it; or use WiseSolve in a way that creates unreasonable risk to WiseSolve, its providers, or other users.
6. Your content and permissions
You retain ownership of content you submit to WiseSolve, including prompts and uploaded images, subject to any rights belonging to others. You grant WiseSolve a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, modify solely as technically necessary, and otherwise use your submitted content only as reasonably necessary to operate, secure, improve, troubleshoot, and provide the service; comply with law; and enforce these Terms. You represent that you have the rights and permissions necessary to submit your content and authorize this processing.
Do not upload highly sensitive information unless it is necessary for your use of the service and you understand the risks of online processing. You are responsible for removing information you do not want processed.
7. Feedback
If you voluntarily provide suggestions, ideas, or feedback about WiseSolve, you grant WiseSolve a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided this does not transfer ownership of your unrelated personal content.
8. WiseSolve intellectual property
WiseSolve, its software, interfaces, branding, designs, documentation, and service materials are owned by or licensed to WiseSolve and are protected by applicable intellectual-property laws. Except for the limited right to use the service under these Terms, no rights are granted to you by implication or otherwise. You may not remove proprietary notices or falsely claim ownership of WiseSolve materials.
9. WiseSolve Pro; automatic renewal; billing
WiseSolve Pro is a recurring subscription unless the checkout page expressly states otherwise. Before purchase, the checkout flow will display the price, billing interval, and other material terms. By purchasing a recurring subscription, you authorize the payment provider to charge the selected payment method at each renewal until cancellation, subject to applicable law. Taxes may be added where required.
You may cancel through the subscription-management tools made available by WiseSolve. Cancellation ordinarily takes effect at the end of the then-current paid billing period unless applicable law requires otherwise. We will provide renewal or subscription notices when required by applicable law. Unless required by law or expressly stated at purchase, fees already charged are non-refundable and cancellation does not retroactively refund a completed billing period.
If a payment fails, is reversed, or is disputed, we may suspend or limit paid features while the payment issue remains unresolved. Payment processing is handled by third-party payment providers, and WiseSolve does not intend to store complete payment-card numbers or security codes on its own servers.
10. Third-party services
WiseSolve relies on third-party services for functions such as AI processing, authentication, payments, email delivery, hosting, and website infrastructure. Third-party services may be subject to their own terms and privacy practices. WiseSolve is not responsible for third-party services to the extent permitted by law, and availability of a third-party integration is not guaranteed.
Links and third-party websites. WiseSolve may provide links to websites, products, services, or other third-party resources, including links identified or generated through automated AI or web-search tools. WiseSolve does not guarantee that any link is authentic, accurate, current, secure, available, or operated by the person or organization it appears to represent. Third-party websites are outside WiseSolve's control and may change after a response is generated. You should independently verify a website's domain and legitimacy before entering passwords, payment information, personal information, downloading files, or completing a transaction. Accessing or relying on third-party links is at your own discretion and risk, subject to rights that cannot legally be waived.
11. Service changes, maintenance, and availability
WiseSolve may add, remove, modify, limit, suspend, or discontinue features or service availability. We do not promise uninterrupted, error-free, secure, or permanently available service. We may perform maintenance and may restrict access to protect security, prevent abuse, comply with law, or protect users and service providers.
12. Suspension and termination
You may stop using WiseSolve at any time. We may suspend, restrict, or terminate access for material violations of these Terms, fraud, abuse, security threats, unlawful conduct, nonpayment, chargeback abuse, risk to the service or others, or when required by law. Where reasonable and legally required, we may provide notice or an opportunity to cure. Termination does not eliminate obligations that by their nature should survive.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISESOLVE IS PROVIDED "AS IS" AND "AS AVAILABLE." WISESOLVE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS. WiseSolve does not warrant that outputs will be correct, that the service will meet your requirements, or that defects or interruptions will be corrected. Nothing in these Terms limits a warranty or consumer right that cannot legally be disclaimed.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISESOLVE, GRAY BOX INTELLIGENCE CORP., AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO WISESOLVE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WISESOLVE AND GRAY BOX INTELLIGENCE CORP. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO WISESOLVE FOR THE SERVICE DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations apply regardless of the theory of liability and do not apply where prohibited by law.
15. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless WiseSolve, GRAY BOX INTELLIGENCE CORP., and their directors, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of WiseSolve, your material violation of these Terms, your content, or your infringement or violation of another person's rights. This obligation does not require you to indemnify a party for that party's own fraud, willful misconduct, or liability that applicable law does not permit to be shifted to you.
16. Release of claims relating to other users and third parties
To the maximum extent permitted by law, WiseSolve is not responsible for disputes between you and another user, school, employer, website, payment provider, or other third party arising from your independent dealings with that party. This section does not waive claims that applicable law does not permit you to waive.
17. Governing law and forum
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise. To the extent a dispute may lawfully be required to proceed in a particular forum, you and WiseSolve consent to the state and federal courts located in New York, New York, unless applicable law gives you the right to bring a claim elsewhere.
18. Informal dispute resolution
Before filing a lawsuit, you and WiseSolve agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice describing the dispute and requested resolution, unless immediate court relief is reasonably necessary or applicable law does not permit this requirement. This provision does not prevent either party from using small-claims court when eligible.
19. Changes to these Terms
We may update these Terms as WiseSolve changes. We will update the effective date and provide additional notice when required by law. Changes generally apply prospectively. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law. Material changes will not retroactively eliminate rights that applicable law protects.
20. Electronic communications and notices
You consent to receive service-related communications electronically, including by email, through the service, or through notices on the website. Electronic notices satisfy any legal requirement that communications be in writing to the extent permitted by law. Marketing communications, if any, remain subject to applicable consent and opt-out requirements.
21. Assignment
You may not assign or transfer these Terms or your account without WiseSolve's prior written consent. WiseSolve may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or by operation of law, subject to applicable law.
22. Force majeure
WiseSolve will not be liable for delay or failure caused by events beyond its reasonable control, including internet or utility failures, cyberattacks, third-party outages, natural disasters, labor disputes, government actions, war, terrorism, civil unrest, epidemics, or failures of suppliers or service providers, except where applicable law provides otherwise.
23. Severability; no waiver
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver of the right to enforce it later.
24. Entire agreement
These Terms, together with the Privacy Policy and any additional terms presented for a specific paid feature or transaction, form the entire agreement between you and WiseSolve regarding the service and supersede prior or contemporaneous agreements concerning the same subject matter, except for rights that cannot legally be waived.
25. Survival
Sections concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute provisions, and other provisions that by their nature should survive will remain in effect after termination or expiration.

This Privacy Policy explains how WiseSolve, operated by GRAY BOX INTELLIGENCE CORP. ("WiseSolve," "we," "us," or "our"), collects, uses, discloses, and protects information when you use WiseSolve.
1. Information we collect
Depending on how you use WiseSolve, we may collect: account information such as your name and email address; authentication information needed to secure your account; prompts, messages, uploaded images, and other content you submit; usage information such as request counts and feature activity; technical information such as IP address, device/browser information, cookies, local-storage identifiers, and session data; subscription information such as plan status, payment-provider customer and subscription identifiers, and billing status; and communications you send to WiseSolve.
2. Passwords and payment-card information
Passwords are intended to be stored in hashed form rather than as readable passwords. Payment-card processing is handled by third-party payment providers such as Stripe. WiseSolve does not intend to store complete payment-card numbers or card security codes on its own servers.
3. How we use information
We may use information to provide and personalize the service; process AI requests; maintain accounts and sessions; provide and manage WiseSolve Pro; process and reconcile subscription status; send transactional emails such as password-reset messages; enforce usage limits; prevent fraud, abuse, and security incidents; troubleshoot and improve reliability; respond to support requests; comply with legal obligations; and enforce our Terms of Service.
4. AI processing and service providers

Depending on the feature used, these may include providers such as OpenAI for AI processing, Google for authentication, Stripe for payments, Resend for transactional email, DigitalOcean for hosting, and Squarespace for website infrastructure. These providers process information under their own terms, agreements, and privacy practices as applicable.

We may disclose information to service providers and contractors that help operate WiseSolve; to payment, authentication, hosting, security, and communications providers; when reasonably necessary to investigate fraud, abuse, or security threats; to comply with lawful process or legal obligations; to protect the rights, safety, and property of WiseSolve, users, or others; and in connection with a merger, acquisition, financing, reorganization, bankruptcy, or sale of some or all business assets, subject to applicable law.
